The Importance of Board Meeting Rules

The board of directors runs a company by making decisions or establishing policies. In most organizations the board of directors must decide by a vote. Your board should be able to follow clear rules for meetings and guidelines to ensure a successful decision-making process.

The majority of boards adhere to Robert’s Rules of Order. This is an English Parliamentary rulebook that was written by American General Henry M. Robert to keep meetings from becoming chaotic. While implementing Robert’s Rules of Order may not be necessary for every board, the application of formal guidelines can help create a framework that ensures an even debate in a virtual or hybrid meeting where directors could feel lost in a carousel of faces on the computer screen.

A key part of this is ensuring that the agenda is concise and clear and requires well-written and written board papers that are prepared and distributed in advance of the meeting to ensure that directors are prepared to talk about them. It’s important to limit time spent on routine issues and reports, as they can drag on meetings.

Other meeting rules include limiting how many times an individual can talk about a motion (two minutes), and ensuring the participants are relevant to the discussion in question. Motions that are causing tension or a heated discussion can be voted off by a vote of two-thirds. Finally, to avoid wasting time, it is essential that all attendees respect one another and do not undermine other members by slamming their motives or using derogatory language.
